The General Meeting of Shareholders (GMS) is the organ company that has highest authority in company, and all decisions relating to are stipulated through GMS after certain conditions have been met as laws regulations. purpose this research find out implementation Extraordinary (EGMS) legal consequences Implementation organized by PT. KOLINGKAS terms Law Number 40 2007 concerning Limited Liability Companies. This study uses normative methods a qualitative approach. As well using primary, secondary tertiary sources materials from books, journals, regulations related holding Shareholders. results show legality an EGMS shareholders can be seen held KOLINGKAS, Shareholders, Plaintiff Member Board Directors was not given any defense Defendants, case KLK also plan dismiss Director were notified advance Plaintiff, carried unilaterally, or directors did know about it, so dismissed stated Deed 06 Minutes does meet requirements procedures set UUPT unlawful act, then it violated considered decision legally flawed. So for fraudulent acts committed parties within party conducting activities liable civil liability these actions.
